1. Definitions

In these Terms and Conditions:

• "Agreement" means these Terms and Conditions, together with any engagement confirmation or service scope document.
• "Service" means any of the three engagement types offered by Vantsuro: Energy Use Review, Efficiency Practices Workshop, or Energy Stewardship Advisory.
• "We / Us / Our" refers to Vantsuro, operating from Lot 4G, Persiaran Multimedia, Technology Park Malaysia, 57000 Kuala Lumpur.
• "User / Client / You" means any individual or organisation accessing our website or engaging our services.
• "Content" means all written materials, documents, checklists, handbooks, and summaries produced by Vantsuro.

2. Acceptance of Terms

By accessing our website at vantsuro.pro or engaging any of our services, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and accept these Terms and Conditions in full.

If you are entering into this agreement on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms.

3. Service Description

Vantsuro provides information, structured reviews, workshops, and advisory engagements focused on AI compute energy use. Our services are:

• Energy Use Review — a single session with a written summary (RM 580)
• Efficiency Practices Workshop — two sessions with worksheets, checklist, and follow-up note (RM 1,440)
• Energy Stewardship Advisory — three-month engagement with monthly sessions, handbook, and review notes (RM 3,000)

Services are delivered in English. Delivery may be in-person (Klang Valley) or remote, as agreed. We do not engage in regulated environmental certification work.

4. Engagement and Scope

Every engagement begins with a written scope confirmation agreed by both parties. This document defines what is included and what is outside scope. Work outside the agreed scope will not be undertaken without a separate written agreement.

Submitting a contact form or making an enquiry does not constitute a binding engagement. An engagement is formed when both parties have confirmed the scope and payment terms in writing.

5. User Responsibilities

You agree to:

• Provide accurate information about your infrastructure and context for the purposes of the engagement.
• Make available the data and personnel required for each session as agreed in the scope.
• Use our website and services in a lawful manner and not for any fraudulent or harmful purpose.
• Not share or redistribute our written deliverables to third parties without prior written consent.

6. Intellectual Property

All written deliverables, methodologies, frameworks, and content produced by Vantsuro remain our intellectual property unless otherwise agreed in writing. Upon full payment of the applicable service fee, we grant you a non-exclusive licence to use the deliverables for internal purposes within your organisation.

You may not reproduce, resell, or publish our deliverables externally without written permission.

7. Payment Terms

All fees are stated in Malaysian Ringgit (RM) and are exclusive of any applicable taxes unless stated otherwise.

• The Energy Use Review and Efficiency Practices Workshop are invoiced in full upon engagement confirmation.
• The Stewardship Advisory is invoiced in three monthly instalments of RM 1,000 each.
• Payment is due within 14 days of invoice. Late payment may result in postponement of scheduled sessions.

Refund policy: if a session has not yet been delivered and you cancel with at least 5 working days' notice, a full refund will be issued. Cancellations with less than 5 working days' notice are not eligible for a refund for the session affected.

8. Disclaimers

Our services are provided for informational and operational advisory purposes only. We do not make environmental claims on behalf of clients and do not engage in regulated environmental certification work.

Energy figures produced during an engagement are estimates based on available data and documented methods. We are not responsible for decisions made based on the information we provide.

Our website and services are provided "as is" without warranties of any kind, to the extent permitted by Malaysian law.

9. Limitation of Liability

To the fullest extent permitted by applicable Malaysian law, Vantsuro's total liability to you for any claim arising from or related to a service shall not exceed the total fees paid by you for that service.

We are not liable for indirect, consequential, or incidental losses arising from use of our services or the information contained in our deliverables.

10. Confidentiality

All infrastructure, utilisation, and operational information shared by clients during an engagement is treated as confidential. We do not disclose such information to any third party. This obligation continues after the engagement ends.

11. Termination

Either party may terminate an engagement with written notice. For the Stewardship Advisory, termination before month three will result in a pro-rata refund of any advance payment for months not yet begun.

We reserve the right to terminate an engagement if a client provides materially inaccurate information or breaches these terms.

12. Governing Law and Disputes

These Terms and Conditions are governed by the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.

13. General Provisions

• Entire agreement: these terms, together with any engagement scope document, constitute the full agreement between the parties.
• Severability: if any provision is found invalid or unenforceable, the remaining provisions continue in full effect.
• Waiver: failure to enforce any provision does not constitute a waiver of our right to enforce it in future.
• Assignment: you may not assign your obligations under these terms without our written consent.

14. Changes to These Terms

We may update these terms from time to time. Updates will be posted on this page with a revised "Last Updated" date. Continued use of our website or services after an update constitutes acceptance of the revised terms.
